1. Scope and acceptance
CucuDay is software primarily intended for merchants, businesses and professionals carrying on economic activities. By registering or using it, you accept these Terms and represent that you have authority to contract. Specific plan, feature or integration terms disclosed before purchase govern that subject where applicable. Mandatory statutory protections remain unaffected.
2. Service and changes
CucuDay offers business management, POS, inventory, online commerce, invoicing and related tools according to plan, country and availability. The service is supplied in its present condition and availability, without any promise of continuous uptime, error-free operation, universal compatibility, commercial results or a service-level agreement (SLA), unless expressly agreed or required by law. We may add, modify, restrict or discontinue features for technical, commercial, operational, security or legal reasons, subject to non-waivable rights and legally binding existing commitments.
3. Accounts and security
You must provide accurate details, protect credentials, manage operator access and permissions, and notify us of known unauthorised access. You are responsible for activity under your control, except where responsibility legally rests with CucuDay. Reasonable checks and access restrictions may be used to combat fraud.
4. Permitted use and content
Illegal, deceptive or infringing conduct, malware, unauthorised access, abusive scraping or automation, and disruption of others are prohibited. You retain your rights in submitted content and warrant the required permissions. You give CucuDay a limited licence to host, transmit, technically process and display that content solely as necessary to provide the features you use. You are responsible for your listings, products, descriptions, prices, taxes, disclosures and third-party rights.
5. Plans, charges and cancellation
Plan features, limits, fees, taxes, billing cycles, renewals and charges are those shown before purchase or plan changes. Third-party payment providers may process charges under their own terms. Unless mandatory law or express plan conditions say otherwise, amounts charged for commenced billing periods are non-refundable. Cancellation prevents subsequent renewals where applicable but does not extinguish accrued amounts. Changes to renewal pricing or material terms are notified as required by applicable law; no paid renewal is initiated without legally required authorisation.
6. Fair use and resources
“Unlimited” or similar descriptions, where offered, do not authorise abusive consumption, disproportionate automation or activity endangering the service. Reasonable technical caps, throttling, restrictions and proportionate suspension may protect security and capacity. Specific allowances depend on the purchased plan. Any mandatory cancellation or refund rights arising from material changes will be honoured; no additional compensation is promised.
7. Merchants, tax and invoicing
Unless expressly stated otherwise, the merchant alone sells its products and services to its customers. Merchants must comply with applicable commerce, consumer, tax, privacy, advertising and product laws and verify invoices, Mexican CFDI and other records. CucuDay provides technology, not legal, tax or accounting advice, and does not warrant that documents will be accepted by authorities. Merchants must keep records and backups required for their business.
8. Marketplace and third parties
On CucuStores, purchases are between the identified seller and buyer unless expressly stated otherwise. CucuDay is not automatically a party and does not guarantee merchant quality, fulfilment, returns or conduct. Payment gateways, banks, carriers and other providers operate under their own terms and responsibilities. We may remove listings or restrict accounts for violations, credible complaints, legal requirements or reasonable risks. Buyers' mandatory rights and duties imposed directly on CucuDay by law remain unaffected.
9. Offline operation, integrations and data
Offline mode, synchronisation, third-party integrations and printing depend on devices, networks, permissions and other providers. Delays, conflicts, failures or loss of unsynchronised operations can occur. You must check synchronisation, maintain operational controls and keep necessary records and backups. CucuDay does not promise individual restoration, customised exports, assisted migration or recovery unless expressly agreed or legally required.
10. Suspension and termination
We may suspend, restrict or end access for breaches, nonpayment, fraud, abuse, security risks, lawful demands or legitimate service discontinuation, subject to applicable law. Users can request account closure using available account settings. Data deletion is governed by the Privacy Notice and statutory retention; recovery following deletion is not guaranteed. Termination does not cancel accrued obligations.
11. Intellectual property
CucuDay software, marks, interfaces and materials belong to their respective owners. You receive only a limited, non-exclusive, revocable right to use the service during its term; no intellectual property transfers. Copying, reselling, reverse-engineering or exploitation beyond the lawfully permitted scope is prohibited.
12. Warranties and liability
To the fullest extent permitted by law, the service is supplied “as is” and “as available”; non-mandatory warranties and liability for lost profits, business interruption, lost opportunities and indirect or consequential losses are excluded. For business-to-business relationships, to the maximum legally permissible extent, CucuDay's aggregate contractual liability arising from the service is capped at the fees paid by the customer to CucuDay for that service during the six months before the event giving rise to the claim. This does not exclude or limit liabilities that cannot legally be excluded, including liability for intentional wrongdoing or other non-excludable conduct. Mandatory user and personal-data rights remain intact.
13. Third-party claims
To the extent permitted by law, the business user will defend and hold CucuDay harmless against third-party claims arising from its offerings, publications, legal breaches or unlawful use, except to the extent directly caused by CucuDay's own breach. This does not create an indemnity obligation from CucuDay to the user.
14. Personal data
Processing is described in the Privacy Notice. When CucuDay acts as a processor for a merchant subject to the GDPR, a relevant Article 28 data-processing agreement is required before processing for which it applies; these Terms do not replace that agreement.
15. Amendments, law and disputes
We may update the Terms by publishing the new version and providing any additional notice or consent required by law. For B2B relationships, Estonian law governs and, as far as legally permissible, contractual disputes shall be resolved by the competent courts of Tallinn, Estonia. Mandatory laws, jurisdictions and regulatory powers are unaffected. If a provision is unenforceable, the remaining provisions continue.
